These terms govern your use of Secondary Platform (the “Platform”), an invite-only directory and messaging space for private circulation of works of art. By using the Platform you agree to be bound by these terms.
1. Membership
The Platform is private and invite-only. Access is granted at the sole discretion of the Platform administrator and may be suspended or revoked at any time, for any reason, with or without notice.
2. Role of the Platform
The Platform is a meeting place. It does not take title to works, hold funds in escrow, process payment for the work, verify authenticity, appraise value, or guarantee provenance. All transactions take place directly between members; the Platform is not a party to any sale.
The Platform charges sellers two kinds of fee. A flat listing fee is charged at publish, based on the asking range; the listing fee is refundable only if the listing is withdrawn within 24 hours of publishing and no member has made contact. A sale commission is charged on the agreed price when a listing sells through the Platform, applied as a flat percentage that decreases with the seller’s number of completed on-platform sales down to a 5% floor. Both fee schedules are described in the Marketplace Rules and presented to the seller before the relevant action is confirmed.
The fees do not entitle the Platform to any role in determining authenticity, provenance, condition, or the terms of the sale beyond the introduction itself.
3. Member representations
When you publish a listing, you represent and warrant that:
- You have the legal right to offer the work for sale, either by ownership or by direct authorisation from the owner.
- The information you provide is accurate to the best of your knowledge, including any provenance, auction history, condition statement, or attribution you cite.
- If you are not the owner, you have disclosed honestly the nature of your relationship to the owner and your degree of proximity to the work, including whether you are the owner’s direct representative, an advisor to the owner, or working through another intermediary.
Misrepresenting any of these matters, including the work’s identity or condition, your authority to sell it, or your proximity to the owner, is grounds for suspension, removal of all your listings, and any other remedy available at law.
4. Off-platform contact and fee circumvention
To preserve fairness, audit-ability, and member privacy, all initial communication between members must take place through the Platform’s messaging tools. Once a deal is in progress you and the other member may move to direct channels, but the Platform takes no responsibility for anything said off-platform.
Deliberately structuring a transaction to evade the sale commission, including completing a sale that originated from a Platform introduction outside the “mark sold” flow, under-reporting the agreed price, or splitting payment across channels to reduce the calculated fee, is a material breach of these Terms and grounds for immediate suspension, removal of all your listings, and any other remedy available at law.
5. Prohibited conduct
You will not: list works you do not own or have the right to sell; misrepresent a work’s title, dimensions, provenance, or condition; use the Platform to harass, impersonate, or defraud another member; scrape, copy, or republish other members’ listings or messages; automate, script, or bulk-mine the auction-fee lookup tool beyond the published per-member rate limits; or use the Platform to launder funds or otherwise violate applicable law.
6. Content ownership and image protection
You retain ownership of images and text you upload. By uploading content you grant the Platform a non-exclusive license to display it to other approved members, in watermarked form, for the duration of your membership.
Every artwork image is protected by a multi-layer marking system: a visible diagonal watermark and a corner identity tag displayed on screen carrying the viewing member’s identity and the moment the image was opened; EXIF provenance metadata baked into the served image bytes; and an invisible per-viewer noise pattern embedded in the pixels of every image served to a member, which can be used forensically to identify the viewer responsible for any leak. You agree not to remove, alter, crop out, or otherwise defeat any of these layers, and not to republish, redistribute, or post any image taken from the Platform, whether by screenshot, screen-capture, download, or any other means, to the public internet or to any non-member. Violations are grounds for immediate suspension and removal of all your listings.
7. No warranty
The Platform is provided “as is.” To the maximum extent permitted by law, the Platform and its operator disclaim all warranties, express or implied, and shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Platform or any transaction entered into through it.
8. Termination
The Platform operator may suspend or terminate your access at any time. You may close your account at any time by writing to the administrator. On termination, your live listings are withdrawn, drafts are discarded, and your past messages are retained for audit but hidden from other members.
9. Changes
These terms may be updated. Material changes will be announced in-app or by email. Continued use after a change constitutes acceptance.
